Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the websites, membership community, educational programs, bootcamps, webinars, affiliate program, and related services offered by The Capitalist Network LLC ("TCN," "we," "us," or "our").

By creating an account, purchasing a membership or program, registering for an event, participating in the TCN community, or otherwise using a TCN service that links to these Terms, you agree to be bound by them.

If you do not agree to these Terms, do not use the Services.

01 About TCN and the Service

The Capitalist Network LLC is an Idaho limited liability company.

TCN operates a private membership and educational community focused on topics that may include wealth building, entrepreneurship, tax strategy, business ownership, investment education, and private-market opportunities.

This service may include:

  • A paid membership community hosted on Skool

  • Educational content and resources

  • Live calls and events

  • Webinars

  • Multi-week bootcamps, including programs such as the Capital Game Plan Bootcamp

  • Access to a network of members and service providers

  • Educational information concerning investment opportunities

  • Introductions to investment issuers, sponsors, managers, or other third parties

  • An affiliate program

  • Other products, programs, events, or services offered by TCN from time to time

TCN may add, remove, modify, or discontinue Services at its discretion, subject to applicable law and any specific terms applicable to a purchase you have already made.

02 Eligibility

You must be at least eighteen (18) years old and legally capable of entering into a binding agreement to use the Services.

By using the Services, you represent that:

  • You satisfy this age requirement

  • Information you provide to TCN is accurate and current

  • You will not impersonate another person

  • You will not provide false or misleading financial or investor-qualification information

Certain investment opportunities may be available only to persons who satisfy eligibility requirements established by applicable securities laws and the applicable issuer or sponsor.

Eligibility requirements may differ from one opportunity to another

TCN, an issuer, a fund sponsor, or an authorized verification provider may request information reasonably necessary to determine or verify eligibility where applicable

03 How We Use Personal Information

Unless expressly stated otherwise in formal offering materials relating to a particular transaction, TCN's website, community, webinars, bootcamps, calls, presentations, emails, discussions, and educational materials are provided for general educational and informational purposes.

Nothing in the general TCN Services is intended to constitute personalized:

TCN does not make investment decisions for you and is not acting as your fiduciary, attorney, accountant, or personal financial adviser.

You are responsible for evaluating your own financial circumstances, objectives, risk tolerance, legal obligations, and tax situation.

You should consult independent professionals of your own choosing before making material financial, tax, legal, business, or investment decisions.

04  Investment Opportunities and Securities

From time to time, TCN may provide educational information concerning private-market investment opportunities or facilitate introductions between members and issuers, fund sponsors, managers, syndicators, or other investment-related parties.

No General TCN Communication Is Automatically an Offering

Unless expressly stated otherwise in legally compliant offering materials, information appearing on TCN's public website, community pages, social media, webinars, educational materials, or general communications should not be construed as an offer to sell or a solicitation of an offer to buy any security.

Any securities offering will be made only by the issuer identified in the applicable offering documents and only in accordance with the laws, exemptions, eligibility requirements, and restrictions applicable to that offering.

Offering Documents Control

If you consider an investment opportunity introduced, discussed, sponsored, or otherwise connected with TCN, the applicable:

  • Private placement memorandum

  • Offering circular

  • Subscription agreement

  • Operating agreement

  • Limited partnership agreement

  • Risk disclosures

  • Investor questionnaire

  • Issuer documentation

  • Other transaction-specific documents

will control with respect to that investment.

If these Terms conflict with legally operative offering documents regarding an investment transaction, the applicable offering documents control as to that transaction.

Investor Eligibility

Different securities exemptions impose different requirements concerning who may invest, how an offering may be marketed, and whether investor status must be verified.

You may therefore be asked to provide certifications or other information relating to your eligibility to participate in a particular offering.

You agree not to provide false, misleading, incomplete, or fraudulent information concerning your investor status, income, net worth, sophistication, identity, or eligibility.

Investment risk

Investing involves risk.

Private-market investments may involve particularly significant risks, including:

  • Loss of some or all invested capital

  • Illiquidity

  • Limited transferability

  • Limited operating history

  • Business and market risk

  • Tax risk

  • Regulatory risk

  • Reliance on management

  • Long holding periods

  • Lack of a public market

Past performance does not guarantee future results.

Testimonials, historical returns, projected returns, examples, case studies, tax illustrations, or hypothetical scenarios are not guarantees that you will achieve similar results.

You should review all transaction-specific risk disclosures before investing.

Third-Party Opportunities

TCN may introduce you to third-party sponsors, fund managers, issuers, syndicators, service providers, or other businesses.

Unless expressly stated in the applicable transaction documents, TCN does not control those third parties and does not guarantee their:

  • Performance

  • Solvency

  • Conduct

  • Compliance

  • Investment results

  • Products or services

Your decision to invest with or engage a third party is your own decision and may create a separate legal relationship directly between you and that third party.

You should conduct your own due diligence.

Nothing in these Terms waives any right, remedy, disclosure obligation, or liability that cannot lawfully be waived under applicable securities or other law.

05 Membership, Fees, Billing, and Cancellation

Access to the TCN membership community requires payment of the membership fee disclosed at checkout.

Recurring Membership

The TCN membership is an ongoing recurring membership with no required long-term commitment.

Your membership will continue and your payment method will be charged at the billing frequency and rate disclosed at checkout unless and until you cancel

By joining, you authorize TCN's payment processor to charge your selected payment method for each recurring membership payment until cancellation.

Cancel Anytime

 may cancel your membership at any time using the cancellation method available through your membership account, community platform, or other cancellation instructions provided by TCN.

There is no minimum membership period.

When you cancel, future recurring charges will stop. Unless otherwise required by law, your cancellation will take effect at the end of the billing period you have already paid for, and you may continue accessing the membership through that date

TCN will provide cancellation methods required by applicable law. If you enrolled online, TCN will make an online cancellation method available where required by law.

You are responsible for canceling before your next billing date if you do not want to be charged for the next billing period.

The cancellation of a recurring membership affects future membership charges only. TCN's no-refund policy applies to all purchases as described in Section 6.

06 No Refunds

All purchases made from The Capitalist Network LLC are final and non-refundable.

This no-refund policy applies to all TCN products and Services, including:

  • Membership fees

  • Bootcamps

  • Webinars

  • Events

  • Educational programs

  • Courses

  • Trainings

  • Workshops

  • Digital products

  • Downloadable materials

  • Consulting or strategy services

  • Special offers

  • One-time purchases

  • Recurring payments

  • Any other product, program, or service sold by TCN

TCN does not provide refunds, credits, partial refunds, or prorated refunds because you:

  • Change your mind

  • Decide not to participate

  • Do not use or complete a program

  • Miss a call, webinar, training, event, or session

  • Fail to access available materials

  • Are dissatisfied with your progress or results

  • Cancel after a payment has already been processed

  • Forget to cancel a recurring membership before the next billing date

Because access to digital content, community resources, programs, or other Services may be provided immediately following purchase, you acknowledge and agree to this no-refund policy when completing your purchase.

All sales are final except where a refund is expressly required by applicable law.

Nothing in this section limits any right or remedy that cannot legally be waived.

07 Affiliate Program

Participation in the TCN affiliate program is subject to these Terms and any separate affiliate agreement, commission schedule, promotional rules, or policies provided by TCN.

Approved affiliates may receive commission on qualifying referrals.

Commission eligibility, attribution, payment timing, minimum thresholds, and other requirements will be determined under the applicable affiliate agreement and current commission rules.

TCN may deny, withhold, reverse, or claw back commission associated with:

  • Fraud

  • Self-referrals where prohibited

  • Refunds

  • Chargebacks

  • Spam

  • Misleading claims

  • Unauthorized use of TCN intellectual property

  • Unauthorized advertising

  • Violation of securities laws or offering restrictions

  • Violation of the affiliate agreement

  • Other abusive or deceptive activity

Affiliates must clearly disclose their financial relationship with TCN when promoting TCN where disclosure is required by applicable advertising law.

Affiliates may not make false or misleading claims concerning TCN, investment returns, tax benefits, guarantees, or financial outcomes.

Affiliates must provide tax documentation reasonably required by TCN, including a completed IRS Form W-9 where applicable, before commission payments are issued.

Affiliates are responsible for their own tax obligations arising from commissions earned.

8 Recordings, Testimonials, and User Content

Recordings

TCN may record certain webinars, bootcamps, group calls, strategy sessions, interviews, or other events for purposes such as:

  • Program delivery

  • Replay access

  • Training

  • Quality assurance

  • Internal operations

  • Educational use

Where consent is required, TCN will obtain or request consent in connection with the recording.

Additional terms may apply under a recording or appearance release.

Community and User Content

If you submit posts, comments, questions, files, feedback, or other content through a TCN community or program, you retain ownership of your original content.

You grant TCN a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute that content as reasonably necessary to operate and provide the Services in which you submitted it.

This license does not transfer ownership of your content to TCN.

Testimonials and Promotional Use

TCN may invite you to provide a testimonial or share your experience.

Public advertising or promotional use of your identifiable name, image, likeness, voice, financial result, investment experience, or personal story may be subject to a separate release, consent, or other authorization.

TCN does not guarantee that results described in testimonials are typical or that you will achieve similar results.

09 Intellectual Property

Unless otherwise stated, TCN owns or licenses the intellectual property contained in its Services, including:

  • Training materials

  • Course materials

  • Videos

  • Presentations

  • Templates

  • Worksheets

  • Graphics

  • Written content

  • Branding

  • Trademarks

  • Logos

  • Community resources

  • Proprietary methodologies

Purchasing or accessing the Services gives you a limited, personal, revocable, non-exclusive, non-transferable license to use TCN materials for your own personal or internal business purposes.

Unless TCN provides prior written permission, you may not:

  • Copy or reproduce TCN materials for distribution

  • Resell TCN materials

  • Share paid materials publicly

  • Upload paid materials to file-sharing services

  • Create derivative products based substantially on TCN materials for resale

  • Remove copyright or proprietary notices

  • Use TCN trademarks in a way that suggests an unauthorized endorsement or affiliation

10 Community Conduct

You agree not to use the Services to:

  • Harass, threaten, or abuse another person

  • Defraud or intentionally mislead another person

  • Impersonate another person or entity

  • Misrepresent financial qualifications or investor eligibility

  • Promote unrelated investments, products, or services without permission where community rules prohibit it

  • Distribute unlawful, infringing, or fraudulent material

  • Scrape or systematically extract TCN data without authorization

  • Attempt to gain unauthorized access to TCN systems

  • Introduce malware or malicious code

  • Violate another person's privacy or intellectual-property rights

  • Use TCN's name or brand to imply an unauthorized guarantee, endorsement, or relationship

  • Violate applicable securities, advertising, consumer-protection, privacy, or other laws

TCN may remove content or suspend access where reasonably necessary to protect the community or enforce these Terms.

11 Third-Party Platforms and Services

TCN may use third-party platforms to deliver portions of the Services, including membership platforms, payment processors, webinar providers, scheduling tools, email platforms, and other technology providers.

Your use of a third-party platform may also be governed by that provider's terms and privacy policies.

TCN is not responsible for outages, security incidents, service interruptions, or independent actions of a third-party provider beyond TCN's reasonable control.

12 No Guarantee of Results

TCN does not guarantee:

  • Investment returns

  • Tax savings

  • Financial outcomes

  • Business revenue

  • Profitability

  • Access to a particular investment

  • Qualification for a particular investment

  • Financing

  • Business acquisition opportunities

  • Any specific result from participation in a TCN program

Results vary based on numerous factors outside TCN's control.

Examples, projections, testimonials, case studies, or historical results are provided for educational or illustrative purposes and should not be interpreted as guarantees.

13 Disclaimers

To the fullest extent permitted by law, the Services are provided on an "as is" and "as available" basis.

TCN disclaims warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, except where such warranties cannot lawfully be disclaimed.

TCN does not warrant that:

  • The Services will be uninterrupted or error-free

  • Information will always be current or complete

  • A particular opportunity will remain available

  • Third-party information is accurate

  • A member will achieve a particular result

Nothing in this section limits obligations or liabilities that cannot legally be limited or disclaimed.

14 Limitation of Liability

To the fullest extent permitted by law, TCN and its members, managers, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your use of the Services.

This may include loss of profits, business opportunities, revenue, data, goodwill, or other consequential losses.

To the fullest extent permitted by law, TCN's aggregate liability for claims arising from your purchase or use of the general TCN Services will not exceed the amount you paid directly to TCN for the applicable membership or program during the twelve (12) months preceding the event giving rise to the claim.

This contractual limitation does not apply to liability that cannot legally be excluded or limited and is not intended to waive rights or remedies available under applicable securities laws.

Any rights and obligations relating to a specific securities investment are governed by the applicable offering and transaction documents.

15 Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless TCN and its members, managers, officers, employees, contractors, and agents from third-party claims, damages, losses, liabilities, costs, and reasonable attorneys' fees arising from:

  • Your material breach of these Terms

  • Your unlawful use of the Services

  • Your violation of another person's intellectual-property or privacy rights

  • Fraudulent or misleading information you provide

  • Your violation of applicable law

This provision does not require you to indemnify TCN for conduct for which indemnification cannot legally be required.

16 Suspension and Termination

TCN may suspend or terminate access to the Services for material violation of these Terms, community rules, applicable law, payment obligations, or other conduct that reasonably threatens TCN, its community, or other users.

Upon termination, your right to access membership-only or paid materials may end.

Termination for violation of these Terms does not automatically create a right to a refund.

Provisions that by their nature should survive termination will survive, including provisions concerning intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and accrued payment obligations.

17 Privacy

TCN's collection and use of personal information are described in the TCN Privacy Policy.

By using the Services, you acknowledge that you have had an opportunity to review the Privacy Policy.

18 Electronic Communications

You consent to receive agreements, disclosures, receipts, notices, and other communications relating to the Services electronically where permitted by law.

By using the Services, you acknowledge that you have had an opportunity to review the Privacy Policy.

You are responsible for keeping your email address and other account contact information current.

Marketing communications are subject to applicable law and the opt-out choices described in our Privacy Policy.

19 Changes to These Terms

TCN may update these Terms from time to time.

When changes are made, TCN will post the updated Terms with a revised effective date.

Where required by law, TCN will provide additional notice of material changes.

Unless another effective date is stated, revised Terms apply prospectively after they become effective.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

20 Governing Law and Venue

The Capitalist Network LLC is organized under the laws of the State of Idaho.

These Terms are governed by the laws of the State of Idaho, without regard to conflict-of-law principles, except where federal law applies or applicable law requires otherwise.

Because TCN operates online and serves members in multiple jurisdictions, you may also have rights under consumer-protection, privacy, subscription, or other laws applicable in the jurisdiction where you reside.

Nothing in these Terms is intended to waive a mandatory consumer right or protection that cannot legally be waived by contract.

This provision does not override any separate governing-law, jurisdiction, arbitration, or dispute-resolution provision contained in documents governing a specific securities offering or investment transaction.

The parties consent to the jurisdiction of those courts.

21 Miscellaneous

If a provision of these Terms is determined to be unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

TCN's failure to enforce a provision does not waive its right to enforce it later.

You may not assign your rights under these Terms without TCN's written consent.

TCN may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, or similar transaction.

These Terms, together with TCN's Privacy Policy and any applicable checkout terms, enrollment agreement, affiliate agreement, recording release, community rules, or other program-specific agreement, constitute the agreement between you and TCN concerning the applicable Services.

With respect to an investment transaction, the applicable offering and transaction documents govern that investment.
